Biographie
Amy L. Sommers has significant experience with corporate structuring, governance and operations issues in China. Her experience includes advising on a variety of international business and commercial transactions such as commercial financings, mergers and acquisitions, private placements of securities and dispositions of businesses and companies. She also counsels clients on various ongoing business transactions such as distribution, manufacturing and IP licensing arrangements, FCPA and anti-bribery compliance, customs and other government investigations.
Ms. Sommers is co-chair of the China Law Committee of the American Bar Association Section of International Law. She is an active member of the Shanghai Foreign Correspondents Club and of the Washington State China Relations Council, of which she previously served as a board member and vice president. Ms. Sommers is also a member of the article referee board of the Pacific Rim Law and Policy Journal of the University of Washington.
She is the co-author of “The Amended Law to the Company Law of the People’s Republic of China (PRC): Encouraging Foreign Investment, Strengthening Shareholder Protections,” which appeared in the Bloomberg Corporate Law Journal in 2006, and the author of “A Lawyer’s Survival Guide to Shanghai,” published in International Law News.
Ms. Sommers is a frequent speaker on various China-related topics. In 2005, she presented to the American Bar Association’s Section of International Law on the risks and opportunities for non-Chinese insurance companies investing in the PRC insurance sector. In 2006, she was a presenter at the American Bar Association’s annual meeting, addressing the topic of corruption in the context of bilateral US-China trade and as part of a panel of experts discussing transnational legal practice.
Ms. Sommers was awarded the Expatriate Professional Women's Society of Shanghai's 2007 Businesswomen Award in the category of Professional Excellence, in part for recognition of her work in helping create stronger ties between the US legal profession and China’s growing profession.
